Fr8Tech to Acquire JAK Solar Loans, Expanding US Solar Reach

Freight Technologies, a logistics management innovation company operating under the Fr8Tech brand, has entered into a share purchase agreement to acquire JAK Solar Loans 1 Limited, a platform focused on owning and servicing residential solar-related financial contracts in the United States.

“This acquisition will provide Freight Technologies with long-duration, recurring cash flows supported by a scalable servicing platform. It will strengthen our financial position and create strategic flexibility as we continue to evaluate opportunities that support sustainable growth and long-term shareholder value,” said Javier Selgas, CEO, Freight Technologies.

The  transaction marks a strategic expansion of Freight Technologies’ asset base beyond logistics technology, adding long-duration, contracted financial assets linked to renewable energy systems. As of Nov. 30, 2025, JAK Solar owned a portfolio of 62 active and performing US residential solar loans, with aggregate principal and interest through maturity of approximately US$1.85 million and a weighted average maturity of 9.6 years.

Freight Technologies said the acquisition is expected to strengthen its balance sheet, generate predictable recurring cash flows, and enhance financial flexibility, while remaining aligned with Fr8Tech’s disciplined capital allocation strategy.

JAK Solar’s business model is built on established servicing arrangements and structured payment streams that provide long-term cash flow visibility. For the year ended Dec. 31, 2024, and the nine months ended Sep. 30, 2025, the platform generated unaudited gross cash receipts of approximately US$314,810 and US$246,587, respectively, with limited historical write-offs.

The company added that JAK Solar’s platform is designed to scale, with the potential to incorporate additional residential energy-efficiency and home-improvement financings. This optionality aligns with Fr8Tech’s focus on resilience and long-term value creation, while maintaining exposure to assets tied to the energy transition.

The acquisition comes as Freight Technologies accelerates product development across its core logistics operations, particularly along the US–Mexico corridor.

In November, Fr8Tech announced the commercial launch of Zayren, an AI-powered pricing prediction and carrier-matching platform developed by its in-house AI Lab. Zayren  delivers real-time freight-rate forecasts and accelerates procurement through AI-assisted carrier matching, addressing structural challenges such as rate volatility, carrier fragmentation, and limited market transparency in cross-border and domestic over-the-road operations.

Earlier, in October, the company expanded its cloud-based transportation management system, Fleet Rocket, through its Fr8Radar module. Over the past year, Fr8Radar added 23 new GPS providers, bringing the total to 54 integrated systems. The expansion significantly enhanced real-time geolocation coverage and asset visibility across the US–Mexico logistics network, enabling faster decision-making and improved risk response for shippers and carriers.

That same month, Freight Technologies also introduced its Carrier Auto Invoicing module, designed to automate invoice verification while ensuring full compliance with Mexico’s CFDI electronic invoicing regulations. The system standardizes structured data from XML and PDF documents, validates invoices end to end, and automatically updates shipment statuses within operational workflows. By generating traceable validation records and real-time error alerts, the module reduces manual processing, minimizes errors, and improves auditability for carriers and back-office teams.
