On the eve of its ninth anniversary as a publicly traded company on the Bolsa Mexicana de Valores (BMV), Mexican transportation and logistics powerhouse TRAXION announced that its Executive Chairman, Aby Lijtszain Chernizky, intends to launch a voluntary public tender offer to acquire up to 100% of the company’s outstanding common stock.

The company disclosed the transaction details through a relevant event filing with the BMV, confirming that Lijtszain Chernizky is participating as a shareholder in an entity structured to execute the takeover bid.

“Grupo Traxion reports that, today, a company in which Mr. Aby Lijtszain Chernizky, our Executive Chairman, participates as a shareholder, communicated to Traxion's Board of Directors its intention to initiate the processes aimed at carrying out a voluntary tender offer for up to 100% of the shares representing Traxion's outstanding capital stock,” TRAXION stated in the official filing.

Transaction Terms and Market Performance

The proposed acquisition is structured around an estimated purchase price of MX$13.18 (US$0.77) per share. According to corporate filings, this price represents a premium of more than 20% compared to the 60-day volume-weighted average price of TRAXION stock for the trading period concluding Friday, Sep. 11.

Following the announcement, TRAXION shares closed at MX$11.06 (US$0.64) on the trading floor, marking a 1.56% increase compared to the previous trading session on Friday, Sep. 11.

The transaction is subject to standard regulatory procedures and conditions, including formal approval from Mexico’s National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores, or CNBV). The upcoming landmark comes as TRAXION—ranked fifth in the T21’s Top 100 del Autotransporte industry index—prepares to commemorate nine years since its initial listing on the BMV on Sep. 29.

Q2 2026 Financial Results Drive Division Shifts

The acquisition announcement follows the publication of TRAXION’s financial results for the second quarter of 2026 (2T26), which highlighted a significant structural shift in the company's revenue distribution.

During 2T26, TRAXION reported a 36.2% surge in consolidated revenue compared to the same period in the prior year, reaching a total of MX$9.346 billion (US$544.5 million). Revenue expansion was predominantly spearheaded by the Logistics and Technology division, which registered explosive sales growth of 124.1% year-over-year. The strong performance of this division was further supported by the integration and consolidation of Solistica.

The Logistics and Technology unit has officially become the largest single contributor to TRAXION's top-line financial performance, accounting for 49.4% of total consolidated revenues in 2T26. By contrast, the traditional Cargo Mobility segment accounted for 19.5% of total revenue during the same quarter.

Cargo Mobility Reorganization Strategy

Alongside its second-quarter earnings report, TRAXION outlined a comprehensive administrative, operational, and commercial reorganization strategy aimed specifically at restructuring its Cargo Mobility business line.

To address current sector conditions and elevate performance, TRAXION has implemented a multi-faceted operational adjustment plan. Key elements of the strategy include:

  • Capital Expenditure Reduction: A reduction of at least MX$500 million (US$29.13 million) in planned capital investments (Capex).
  • Asset Optimization: Disinvestment or reduction of non-profitable assets paired with general price adjustments.
  • Brokerage Expansion: An increased reliance on a brokerage operational model, utilizing third-party assets and capacity to fulfill freight service demands.

Company management confirmed that despite an environment marked by elevated uncertainty, TRAXION maintains healthy leverage levels through a disciplined financial strategy and prudent resource management.

TRAXION noted that the business reconfiguration plan in the cargo segment has already begun yielding positive initial results. The company expects the strategic measures to make a broader, more substantial contribution to financial performance during the second half of 2026.
