Algo Grande Copper has completed the full acquisition of the 5,895ha Adelita Copper-Gold-Silver Project in the Arizona–Sonora Copper Belt, purchasing an 80% stake from Infinitum Copper and the remaining 20% from Minaurum Silver Inc.

“Completing the acquisition of 100% of the Adelita Project and securing our reactivation marks an important milestone for Algo Grande. Over the past months, our team has undertaken a rigorous technical review: reprocessing legacy geophysics, rebuilding the geological model, and integrating new data into a modern exploration framework. With this foundation in place, we are now executing a disciplined, data-driven program designed to delineate the scale of both the high-grade skarn system and the porphyry potential at depth. Supported by strong in-country operational partners, and a growing team, we are entering this next phase with confidence and clarity of vision,” said Enrico Gay, CEO, Algo Grande.

Algo Grande finalized the acquisition of the Adelita Project through two agreements. The first, a share purchase agreement dated June 13, 2025, with Infinitum Copper enabled Algo Grande to acquire 100% of Exploraciones Margarita, a private Mexican company holding an 80% stake in the Project. The second, an asset purchase agreement dated Aug. 12, 2025, with Minaurum Silver Inc. and Minera Minaurum Gold, secured the remaining 20% interest in the Project.

Under the Infinitum Agreement, Algo Grande acquired EM in exchange for US$100,000 in cash and 1,842,719 shares, which are subject to voluntary resale restrictions with staggered releases over 18 months. Infinitum will also receive an additional 901,600 shares following the completion of the related financing.

Through the Minaurum Agreement, Algo Grande obtained the remaining 20% stake in exchange for 313,953 shares and a 1% net smelter return royalty on any ores, minerals, metals, or concentrates extracted from the property.

All shares issued in connection with the acquisition are subject to a statutory hold period of four months plus one day in accordance with applicable securities regulations.

The acquisition was a key requirement for Algo Grande’s reactivation from the TSXV NEX Board to Tier 2. Final approval is expected once remaining filings are completed, with shares anticipated to begin trading under the symbol “ALGR” around Dec. 23, 2025, marking the company’s transition from NEX to Tier 2.

The Adelita Project

The Adelita Project is centered on the high-grade Cerro Grande skarn, a copper-gold-silver system that remains open both along strike and at depth. Historical exploration exceeding US$8 million, including roughly 7,000m of drilling, VTEM, IP, and magnetic surveys, surface sampling, and detailed mapping, has provided a strong technical foundation. Recent reprocessing and new modeling suggest the skarn extends down-dip beyond 350m and along a structural fold to the northwest, potentially forming a 1.2km mineralized trend.

Multiple technical indicators, such as potassic feldspar veining, feldspar-porphyry dikes, a high-resistivity magnetic core beneath the skarn, and zoned geochemistry, point to a porphyry feeder system at depth, consistent with the classic porphyry–skarn systems found elsewhere in northwestern Mexico, including Piedras Verdes and Alamo Dorado.

To advance exploration, Algo Grande is conducting a Phase 1 program that integrates oriented-core drilling to define structural geometry, detailed ground magnetic surveys to map magnetite-rich horizons and intrusive centers, a 50×50 m soil geochemistry program to refine near-surface targets, and reprocessed 3D geophysical inversions to better delineate porphyry targets.

Data from this program will guide a Phase 2 drilling campaign planned for 2Q26, aiming to expand high-grade skarn mineralization and test the deeper porphyry system. Following the acquisition, Algo Grande is updating concession registrations with the Mexico Public Registry of Mines. Aside from standard mining duties, no operational restrictions are expected.

M&As in Mexico

Algo Grande Copper’s acquisition is part of Mexico’s 2025 mining M&A activity, highlighting ongoing consolidation and strategic moves by major and mid-tier miners.

This month, Silver Wolf Exploration announced the completion of all expenditure and payment requirements to acquire a 100% interest in the Ana Maria and El Laberinto properties in Mexico. After the acquisition, Avino Silver & Gold Mines ended up owning 18.19% of Silver Wolf’s shares. The acquisition was finalized following the issuance of 2,000,000 common shares to Avino Silver & Gold Mines valued at CA$400,000 (US$290,730) based on a deemed price of C$0.20 per share.

In November, Mexican Gold Mining announced the acquisition of full ownership of certain mineral titles and associated rights covering 3,824.3585ha at the Tatatila Project in Veracruz, Mexico. This acquisition was completed under a mining concessions assignment agreement with its subsidiary Roca Verde Exploración and Chesapeake Gold, along with its subsidiaries Minerales El Prado, and Chesapeake México.
