IMPACT Silver has closed a non-brokered private placement financing, originally announced on April 15, 2025, and increased on April 18, 2025. The offering consisted of a LIFE (Listed Issuer Financing Exemption) component and a standard private placement.

The company raised a total of US$3,930,711.86, with US$1,658,000 coming from 8.29 million LIFE units priced at US$0.20 each, and US$2,272,711.86 from 12,626,177 units at US$0.18 each. Each LIFE unit includes one common share and half a warrant, exercisable for two years at US$0.26 per share. Each standard unit consists of one common share and one full warrant, exercisable for three years at US$0.24 per share.

Proceeds will support continued exploration at the high-grade Plomosas zinc-lead-silver project and the Royal Mines of Zacualpan silver district, as well as operational enhancements aimed at increasing productivity and processing capacity.

The LIFE portion was completed under the listed issuer financing exemption, with securities issued under this exemption not subject to a statutory hold period under Canadian securities laws. In connection with the placement, the company paid US$64,696.19 in finders’ fees and issued 359,423 finders’ warrants tied to the unit offering. These warrants are exercisable at US$0.24 per share for three years. The financing is subject to final approval by the TSX Venture Exchange.
