These “Terms of Use” describe the terms and conditions that govern your use of the current and future online and mobile websites, print editions, platforms, services, and applications (collectively, Content Platforms) operated by Mexico Business Publications SA de CV (hereafter Mexico Business Publications), including without limitation mexicobusiness.news, mexicobusinesspublishing.com, Mexico Business Review, Mexico Oil & Gas Review, Mexico Energy Review, Mexico Mining Review, Mexico Automotive Review, Mexico Aviation & Aerospace Review, Mexico Health Review, Mexico Infrastructure Review and any other platform or service linked to these Terms of Use.

You accept and agree to be bound by these Terms of Use when you use any of the Content Platforms, without limitation or qualification.

1. General Terms

(A) Governing Terms. These Terms of Use, along with any additional terms and conditions that are referenced herein or that are presented elsewhere on the Content Platforms set forth the terms and conditions that apply to your use of the Content Platforms. By using the Content Platforms, you agree to comply with all of the terms and conditions hereof. If you do not agree to these Terms of Use, please immediately leave the Content Platforms linked to these Terms of Use.

(B) Changes to Terms of Use. Mexico Business Publications may modify the Terms of Use, or any part thereof, or add or remove terms at any time, and such modifications, additions or deletions will be effective immediately upon posting. Your use of the Content Platforms after such posting shall be deemed to constitute acceptance by you of such modifications, additions or deletions.

2. Copyright and Ownership.

6. Disclaimer of Warranty; Limitation of Liability.

(A) You expressly agree that use of the Content Platforms is at your sole risk. Neither Mexico Business Publications, its parent, subsidiaries or related entities, nor any of their respective employees, agents, third party content providers or licensors warrant that the Content Platforms will be uninterrupted or error free; nor do they make any warranty as to the results that may be obtained from use of the Content Platforms, or as to the accuracy, reliability or content of any information, service, or merchandise provided through the Content Platforms.

If applicable law does not allow all or any part of the above limitation of liability to apply to you, the limitations will apply to you only to the extent permitted by applicable law.

(E) Mexico Business Publications disclaims any and all liability of any kind for any unauthorized access to or use of your personally identifiable information. By accessing the Content Platforms, you acknowledge and agree to Mexico Business Publications 's disclaimer of any such liability. If you do not agree, you should not access or use the Content Platforms.

7. Indemnification.

You agree to defend, indemnify and hold harmless Mexico Business Publications, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of the Content Platforms by you or your account. Mexico Business Publications reserves the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide Mexico Business Publications with such cooperation as is reasonably requested by Mexico Business Publications.

8. Termination.

Mexico Business Publications may terminate or suspend these Terms of Use at any time without notice to you. Without limiting the foregoing, Mexico Business Publications shall have the right to immediately terminate your account in the event of any conduct by you which Mexico Business Publications, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of these Terms of Use. The provisions of Sections 1 - 10 shall survive termination of these Terms of Use.

9. Trademarks.

Mexico Business Publications, its parent, subsidiaries and affiliates, own all rights to their logos and trademarks used in connection with the Content Platforms. All other logos and trademarks appearing on the Content Platforms are the property of their respective owners.

10. Governing Law.

The content, data, video, and all other material and features on the Content Platforms are presented for the purpose of providing news and/or information and/or promoting programs, events, videos, and other products and/or services that are or may become available in Mexico.

Any and all disputes, claims and controversies arising out of or in connection with your access to, and/or use of the Content Platforms, and/or the provision of content, services, and/or technology on or through the Content Platforms shall be governed by and construed exclusively in accordance with the laws and decisions of Mexico applicable to contracts made, entered into and performed entirely therein, without giving effect to its conflict of laws provisions.

Except where prohibited by applicable law, you agree to waive any right you may have to commence or participate in any class action against us related to any claim and, where applicable, you also agree to opt out of any class proceedings against us.

11. Copyrights and Copyright Agent.

Mexico Business Publications respects the rights of all copyright holders and in this regard, Mexico Business Publications has adopted and implemented a policy that provides for the termination in appropriate circumstances of contributors, content partners, users and account holders who infringe the rights of copyright holders. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Mexico Business Publications with the following information:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

2. Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;

4. Information reasonably sufficient to permit us to contact the complaining party;

5. A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
