Grupo Traxión Acquires Solistica for MX$4.04 Billion

Mexico-based leading transportation and logistics company Grupo Traxión announced it completed the acquisition of Solistica, the logistics services subsidiary of Grupo FEMSA. The all-cash transaction was valued at MX$4.04 billion (US$213.3 million).

Traxión stated it obtained all corresponding regulatory approvals for the Solistica transaction. The deal will significantly expand Traxión's logistics and technology segment, aligning with its strategy to grow its asset-light business lines, which require lower capital investment.

Solistica operates an asset-light model offering third-party logistics (3PL) services and cargo brokerage, with operations in Mexico, Brazil, and Colombia. The company is expected to generate approximately MX$14 billion in revenue in 2025 across the three countries. For its Mexico operations alone, Solistica is projected to generate MX$8 billion in revenue in 2025, with an estimated EBITDA margin between 4% and 5%. "This acquisition represents a unique opportunity for Traxión. It is one of the most relevant integrations in the 3PL industry in Mexico. It is highly strategic and consolidates our leadership in the Mexican logistics market,” said Aby Lijtszain, Executive President and Co-Founder, Grupo Traxión.

With the integration of Solistica, Traxión expects to achieve operational, financial, and commercial synergies. The company noted these will be realized by increasing cross-selling opportunities across its service portfolio, strengthening economies of scale, and optimizing the use of both companies' infrastructure.
Solistica’s sale is part of FEMSA's "FEMSA Forward" strategic plan, which was announced in early 2023. The plan aims to streamline the company's diverse business portfolio by divesting from non-core assets, allowing the company to focus its capital and operational efforts on its core, high-growth business units, which include retail and beverages, as reported by MBN.
